Fiducia Tool – User Terms & Conditions

These Terms & Conditions ("Terms") govern your use of the Fiducia Tool, developed and owned by Fraudopedia Private Limited. Fiducia is a proprietary web-based corporate governance tool licensed to support your Organisation's compliance and Board responsibilities.

Your access to Fiducia is enabled through your Organisation, which has an agreement with Fraudopedia. These Terms apply to your use as an authorised user under that agreement. By using Fiducia, you agree to these Terms and our Privacy Policy.

Access is restricted to authorised individuals and roles (e.g., Board members, KMPs, etc.), and is governed by account-level authentication and organisational permissions. You must maintain the confidentiality of your credentials and report any unauthorised access.

You are granted a limited, non-transferable licence to use Fiducia only for internal governance, compliance, and board management purposes. You may not reverse engineer, distribute, or repurpose the Software. All rights not expressly granted are reserved by Fraudopedia.

You must comply with all applicable laws and your Organisation's internal policies. You are responsible for the accuracy and confidentiality of any data you submit. Fraudopedia does not act as a data processor or controller and only provides technical infrastructure.

Your Organisation is responsible for determining the purpose and means of any data processing. Fraudopedia may access data only to maintain or support the system, and will treat all such access as confidential. Security responsibilities are shared between you and Fraudopedia.

All intellectual property in Fiducia remains with Fraudopedia. User-submitted content remains your Organisation’s responsibility. Any feedback you provide may be used by Fraudopedia to improve the tool without any compensation.

You must not disclose confidential information accessed through Fiducia and must follow all reasonable security protocols. Upon termination, you must stop using Fiducia and delete any related material unless legally required to retain it.

Fiducia is provided "as is" and Fraudopedia disclaims any warranties not explicitly stated. We are not liable for indirect or consequential damages. Total liability is limited to the fees paid by your Organisation in the past 12 months.

You agree to indemnify Fraudopedia against any loss or claim arising from misuse, breach of these Terms, or violation of applicable laws. We may suspend or terminate your access to protect system security or upon violation of these Terms.

Fraudopedia may modify these Terms with notice. Continued use implies acceptance. Indian law governs these Terms, and disputes are subject to arbitration in Bangalore under the Arbitration and Conciliation Act, 1996.
